These Terms of Use (“Terms”) govern your access to and use of the HappySoup Ltd (“HappySoup”, “we”, “our”) services, including our web application, desktop application, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

You must be at least 16 years old to use the Services. By using the Services, you represent that you have the legal authority to accept these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree not to share your account with unauthorized users.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

All rights, title, and interest in and to the Services (including software, documentation, and branding) remain with HappySoup.io Ltd and its licensors.

Customer grants HappySoup the limited right to use Customer’s name and logo for the purpose of identifying Customer as a user of the Services on HappySoup’s website and in marketing materials, subject to Customer’s applicable brand guidelines provided in writing. For any press releases or case studies, HappySoup will obtain Customer’s prior written consent. Customer may revoke HappySoup’s right to use its name and logo at any time by providing written notice, and HappySoup will remove such references within ten (10) business days.

The Services are provided on an “as is” and “as available” basis. HappySoup makes no warranties of any kind, whether express, implied, or statutory, including but not limited to fitness for a particular purpose, availability, or non-infringement.

From time to time, HappySoup may make certain features available on a preview or beta basis (“Beta Features”). Beta Features are provided for evaluation purposes only, may be changed or discontinued at any time, and may differ significantly from the generally available Services. Beta Features may also become part of a paid subscription plan in the future. We make no commitments or warranties regarding Beta Features, and your use of them is at your own risk.

To the maximum extent permitted by law, HappySoup shall not be liable for any indirect, incidental, or consequential damages, or for any loss of data or profits, arising from or related to your use of the Services.

We may suspend or terminate your access to the Services at any time if you violate these Terms. You may stop using the Services at any time.

We may update these Terms from time to time. If changes are material, we will notify you by posting an updated version here. Continued use of the Services after changes take effect constitutes acceptance of the new Terms.

These Terms are governed by the laws of Ireland, without regard to conflict of law principles.
